e-Residency for Ukrainians: EU Company Setup From Ukraine or Abroad
Estonian e-Residency solves three problems at once for Ukrainian founders: EU legal entity, EU banking, and stable invoicing infrastructure that clients trust.
Since 2022, applications from Ukrainian nationals have become one of the fastest-growing segments of Estonia's e-Residency program. Ukrainian entrepreneurs and freelancers are using it for a straightforward reason: running a business from Ukraine has become operationally difficult. Payment processors restrict Ukrainian accounts, international clients demand EU-based invoicing, and banking access has become unreliable in conflict-affected regions.
An Estonian OÜ (private limited company) solves all three at once. This guide covers what Ukrainians specifically need to know, from the application process and kit pickup options to banking and how it compares to keeping your FOP.
Can Ukrainians apply?
Yes, with no restrictions. There are no nationality barriers to e-Residency. Ukrainian citizens can apply from inside Ukraine, from any EU country where they hold temporary protection status, or from any third country. The application itself is entirely online until the kit pickup stage.
Where to collect your kit
Once your application is approved (typically 4 to 8 weeks), you collect your digital ID card and card reader from a pickup location. Ukrainians have several options depending on where they currently are:
- Inside Ukraine: The Estonian embassy in Kyiv has continued to operate and process pickups throughout the conflict period
- EU countries: Estonian embassies and consulates in Warsaw, Berlin, Riga, Helsinki, and other cities; also Police and Border Guard Board offices inside Estonia itself
- Other countries: Estonian diplomatic missions worldwide; check the pickup location list during the application for current availability
You choose your pickup location when you apply, so factor in where you expect to be in 4 to 8 weeks. Changing the pickup location after submission is possible but adds administrative delay.
Setting up your Estonian company
Once you have your card and reader, company formation takes 15 to 30 minutes on the e-Business Register. You need three things a solo e-resident typically can't provide themselves:
- A registered address in Estonia
- A contact person (legal representative) in Estonia
- EUR 2,500 minimum share capital (does not need to be paid in at formation for most standard setups)
Formation agents provide the address and contact person as part of their service. Xolo, 1Office, and Companio all have experience with Ukrainian clients and handle annual reporting and compliance without requiring your physical presence in Estonia.
Banking for Ukrainian e-residents
Banking is the most common friction point. Traditional Estonian banks (LHV, SEB, Swedbank) have tightened requirements for non-resident directors significantly, and Ukrainian directors face additional scrutiny. The practical options that work reliably:
- Wise Business: The most popular choice among Ukrainian e-residents. Multi-currency accounts, fast EUR transfers, straightforward onboarding for Estonian OUs
- Revolut Business: Works well for freelancers with straightforward transaction patterns and lower monthly volumes
- Paysera: Lithuanian EMI with strong support for Eastern European clients and SEPA transfers
For higher transaction volumes or clients who require an IBAN from a licensed bank rather than an EMI, LHV does still accept applications from Ukrainian directors but the process involves more documentation and is not guaranteed.
Tax considerations
Estonian corporate tax is 0% on retained earnings inside the company. The 20% rate applies when you distribute dividends to yourself. For Ukrainian founders who are not drawing a regular salary and prefer to accumulate capital inside the company, the Estonian model is well suited.
Your personal tax obligations depend on your tax residency, which is entirely separate from e-Residency. If you remain a Ukrainian tax resident, Ukrainian personal income tax rules apply to dividends paid to you. If you are living in an EU country under temporary protection, that country's tax rules govern your personal income. This is genuinely variable and a local tax adviser in your country of residence is the right person to confirm your position.
Temporary protection in an EU country does not automatically make you a tax resident there, but staying beyond 183 days typically does. If you have been in Poland, Germany, or another EU country for an extended period, confirm your personal tax residency before assuming your situation is straightforward.
e-Residency vs Ukrainian FOP
Many Ukrainian freelancers currently operate as FOP (Fizychna Osoba Pidpryiemets), Ukraine's simplified sole trader regime. The comparison is not a clean win either way:
- FOP Group 3 is cheaper and simpler for clients who pay in UAH or who are themselves Ukrainian
- Estonian OÜ is better for EU and US clients, Stripe access, Wise Business accounts, and long-term growth
- Running both in parallel is a legitimate approach: FOP for local Ukrainian work, OÜ for international invoicing
The main costs of the OÜ that FOP doesn't have: a formation agent fee (typically EUR 50 to 100/month), annual reporting obligations, and the need to maintain the company even in low-activity periods. If your international revenue justifies those costs, the OÜ structure is usually the better fit.
Frequently asked questions
Does e-Residency give me the right to live in Estonia?
No. e-Residency is a digital identity for business purposes only. It does not grant residency, visa rights, or freedom of movement. If you want to live in Estonia, you need a separate visa or residence permit, which is a different process entirely.
Can I apply from Poland or Germany if I have temporary protection status there?
Yes. You can apply from any country and select any available pickup location. Your temporary protection status in the EU does not affect your eligibility for e-Residency.
What happens to my Estonian company if I return to Ukraine?
Nothing changes. Your company continues to operate as an Estonian legal entity. You manage it remotely using your e-Residency digital signature from wherever you are. There is no requirement to be in Estonia or the EU to maintain the company.
How long does the application take?
The background check takes 4 to 8 weeks for all nationalities. There is no separate fast-track for Ukrainians. After approval you schedule your kit pickup and can form the company within days of receiving the card.
